Acceptance of these terms
These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services provided by Zedform, Inc. (“Zedform,” “we,” “us”) (the “Services”). By creating an account, accessing, or using the Services, you agree to these Terms and to our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization, and “you” includes that organization.
If you do not agree to these Terms, do not use the Services.
Who may use Zedform
You must be at least 18 years old and able to form a binding contract to create an account. The Services are intended for organizations that run programs and for the families and participants who register through them. The Services are not directed to children, and children may not create their own accounts; information about minors is provided by a parent, guardian, or the organization.
Accounts and organizations
To use most features you must create an account. You agree to provide accurate information and to keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at hello@zedform.io if you suspect unauthorized use.
Accounts are organized into organizations. Each organization has a designated owner, who can invite and assign roles to other administrators. Owners and administrators are responsible for managing access within their organization and for the actions of their members. Roles and permissions determine what each user can see and do.
Subscriptions and billing
Some features require a paid subscription. The plan you select, its price, included locations and seats, any platform fee, and the billing interval (monthly or annual) are shown at checkout and may also depend on usage, such as the number of locations.
- Fees and renewal. Subscription fees are billed in advance and renew automatically at the end of each billing period until cancelled. By subscribing, you authorize us (through our payments provider) to charge your payment method on a recurring basis.
- Usage-based charges. Where your plan charges per location or for other usage, those charges are calculated for the applicable period and billed accordingly.
- Taxes. Fees are exclusive of taxes. You are responsible for any applicable sales, use, VAT, or similar taxes, except for taxes on our net income.
- Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then.
- Refunds. Except where required by law, subscription fees are non-refundable, and partial periods are not pro-rated.
- Price changes. We may change subscription prices; we will give you advance notice, and changes take effect at your next renewal.
Failure to pay may result in suspension or termination of paid features. Platform fees applicable to payments your organization collects are described below.
Promotions and beta features
We may offer promotional pricing or early-access (“beta”) features. Promotions run for the period and on the terms we state at signup. Beta features are provided for evaluation, may be incomplete or change at any time, may be withdrawn, and are offered “as is” without the commitments that apply to generally available Services. We may modify or end any promotion or beta program at any time.
Payments your organization collects
Zedform lets organizations collect program fees and donations from participants and families using Stripe. These charges are processed as direct charges on the organization’s own connected Stripe account. This means:
- The organization is the merchant of record for the fees and donations it collects. Funds settle to the organization’s connected account; they do not pass through Zedform’s balance.
- To collect payments, an organization must connect a Stripe account and agree to Stripe’s applicable terms. Stripe’s processing fees, and any Zedform platform fee disclosed in your plan, apply to these transactions.
- Refunds, chargebacks, disputes, and the goods or services behind a charge are the organization’s responsibility. Zedform is not a party to the transaction between an organization and the people who register with it, and is not responsible for delivering the underlying programs.
- You are responsible for accurately describing fees, refund policies, and program details to your participants, and for complying with card-network rules and applicable law.
Your content and data
You and your organization retain all rights to the information, records, and materials you submit to the Services (“Your Content”), including registration data, rosters, and program details. You grant us a limited, worldwide, non-exclusive license to host, process, transmit, display, and back up Your Content solely to provide and improve the Services, to support you, and as otherwise permitted by our Privacy Policy.
You are responsible for Your Content and for having the rights and any necessary consents to provide it — including, where you collect information about participants, families, or minors, the consents required by law. You must not submit content that is unlawful, infringing, or that you do not have the right to share.
Acceptable use
You agree not to, and not to allow anyone to:
- Use the Services to violate any law or the rights of others;
- Upload malware or interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems;
- Probe, scan, or test the vulnerability of the Services without our written permission, or circumvent security or access controls;
- Reverse engineer, copy, resell, or create derivative works from the Services except as expressly permitted;
- Use the Services to send spam, harass others, or collect information without authorization;
- Misrepresent your identity or affiliation, or use the Services to defraud anyone, including through deceptive fees or programs; or
- Use the Services in a way that places an unreasonable load on our infrastructure or that we reasonably determine harms Zedform or other users.
Organization responsibilities
If you operate an organization on Zedform, you are responsible for your programs and your relationship with your participants. This includes setting accurate prices, refund and cancellation policies, and program terms; safeguarding the personal, medical, and emergency information families provide to you; obtaining required consents (including for minors); and complying with all laws applicable to your activities, such as those governing youth programs, background checks, health information, payments, and consumer protection. As described in our Privacy Policy, Zedform acts as your processor for the participant data you store in the Services.
Our intellectual property
The Services, including all software, design, text, graphics, and the Zedform name and logos, are owned by Zedform or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services in accordance with these Terms. We reserve all rights not expressly granted. You may not use our trademarks without our prior written permission. We welcome feedback, and you grant us a perpetual, royalty-free license to use any feedback you provide without obligation to you.
Third-party services
The Services rely on and integrate with third-party services (for example, payments, authentication, and email providers). Your use of those services may be subject to their own terms and privacy policies, and we are not responsible for them. Links to third-party websites are provided for convenience and do not imply our endorsement.
Changes to the Services
We are continually improving the Services and may add, change, suspend, or discontinue features at any time. If we make a change that we reasonably expect to materially and adversely affect your use of a paid feature, we will use reasonable efforts to give you advance notice. Except as required by law or otherwise stated in these Terms, we are not liable to you or any third party for modifying, suspending, or discontinuing any part of the Services.
Suspension and termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Services in a way that creates risk or legal exposure for us or others, or as needed to comply with law. We will use reasonable efforts to notify you. Upon termination, your right to use the Services ends; sections that by their nature should survive (including content licenses you granted, disclaimers, limitations of liability, and dispute terms) will survive. We will make Your Content available for export for a reasonable period after termination, after which we may delete it in accordance with our Privacy Policy.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA WILL ALWAYS BE AVAILABLE OR ACCURATE. ZEDFORM IS NOT RESPONSIBLE FOR THE PROGRAMS, PAYMENTS, OR CONDUCT OF ANY ORGANIZATION OR PARTICIPANT USING THE SERVICES.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ZEDFORM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
Indemnification
You agree to defend, indemnify, and hold harmless Zedform and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, Your Content, your programs and the payments you collect, or your violation of these Terms or applicable law.
Governing law and dispute resolution
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. You and Zedform agree to the exclusive jurisdiction of the state and federal courts located in King County, Washington for any dispute arising out of or relating to these Terms or the Services. Any dispute must be brought within one year after it arises.
Communications and notices
You consent to receive communications from us electronically — including notices about your account, the Services, and these Terms — by email or through the Services, and you agree that electronic communications satisfy any legal requirement that a communication be in writing. We may send you service-related messages (such as billing, security, and policy notices); these are part of the Services, and you cannot opt out of them while you have an account. You may opt out of promotional messages at any time. We send notices to the email address associated with your account, so please keep it current; you may send notices to us at hello@zedform.io.
Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and provide reasonable notice, such as by email or an in-app notice. Your continued use of the Services after changes take effect means you accept the revised Terms.
General terms
- Entire agreement. These Terms, together with our Privacy Policy and any terms referenced or presented at checkout, are the entire agreement between you and Zedform about the Services and supersede any prior agreements on the subject.
- Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms, including in connection with a merger, acquisition, or sale of assets. These Terms bind permitted successors and assigns.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later, and any waiver must be in writing to be effective.
- Severability. If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions stay in effect.
- Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, such as natural disasters, outages, acts of government, or failures of third-party services or networks.
- Independent parties. These Terms do not create any partnership, joint venture, agency, or employment relationship between you and Zedform, and create no third-party beneficiaries.
- Export and sanctions. You represent that you are not located in, and will not use the Services in or on behalf of, any country or party subject to applicable export controls or economic sanctions, and that you will comply with those laws.
- Headings. Section headings are for convenience only and do not affect interpretation.
